AMENDMENT NO. 5
TO THE SOUTHERN CALIFORNIA IBEW-NECA DEFINED CONTRIBUTION PLAN

This Amendment to the Southern California IBEW-NECA Defined Contribution Plan ("Plan") executed this 23rd day of January, 2012, is made by the Board of Trustees of the Southern California IBEW-NECA Pension Trust Fund ("Board of Trustees") with reference to the following facts and circumstances:

1. The Board of Trustees wishes to extend the sunset date of Amendment No. 2.
2. The Board of Trustees has reserved to themselves the ability to amend the Plan from time to time.

NOW THEREFORE, the Plan is amended as follows:

1. Article VI, Section 1(g) of the Plan is amended by replacing the date of "December 31, 2011" with "December 31, 2012" in the first sentence of that section.
2. All other terms and conditions of the Plan shall remain in full force and effect.
