AMENDMENT NO. 2 TO THE SOUTHERN CALIFORNIA IBEW-NECA PENSION PLAN

This Amendment to the Southern California IBEW-NECA Pension Plan (“Plan”) executed this 15th day of November, 2007, is made by the Board of Trustees of the Southern California IBEW-NECA Pension Trust Fund (“Board of Trustees”) with reference to the following facts and circumstances:

1. The Board of Trustees wishes to amend the provisions of the Plan to permit a retiree receiving a Partial Disability Pension to work for an IBEW International Office, the national office of NECA or for any IBEW or NECA related entities.
2. The Board of Trustees has reserved to themselves the ability to amend the Plan from time to time.

NOW THEREFORE, the Plan is amended as follows:

1. Article VII, Section 7.7 of the Plan is amended by adding the following language to the end of the existing language:
   “Effective for Applications for Partial Disability Benefits with an Annuity Starting Date on or after July 1, 2006, a retiree receiving Partial Disability Benefits under the Plan shall not have his benefits suspended for any month in which he is employed to serve as a Trustee for an IBEW-NECA Taft-Hartley Trust Fund.”
2. All other terms and conditions of the Plan shall remain in full force and effect.
